Canada embraces crowdfunding

Crowdfunding is to come to five more Canadian provinces as Multilateral Instrument 45-108 Crowdfunding is published in its final form awaiting government approval.

Registered crowdfunding portals are to be allowed in five Canadian provinces following the publishing of a Multilateral Instrument that now awaits government approval.

Manitoba, Ontario, Québec, New Brunswick and Nova Scotia have finalised and published Multilateral Instrument 45-108 Crowdfunding, which introduces legislation around crowdfunding in those provinces.

The document outlines a crowdfunding prospectus exemption for issuers alongside a registration framework for potential funding portals.

The Multilateral Instrument states that issuers must use a registered portal which will act as a gatekeeper. These portals will be responsible for reviewing the issuer's disclosers and obtaining background checks.

When using the crowdfunding prospectus exception, issuers will be limited to what type of securities can be offered and will not be allowed to advertise.

Multilateral Instrument 45-108 Crowdfunding will come into effect on January 25 2016 assuming all approvals are given.

This regulation will work alongside the startup crowdfunding exemptions put in place by the British Columbia, Saskatchewan, Manitoba, Québec, New Brunswick and Nova Scotia provinces in May this year.
